These Luminary Inc Finance Ltd Card Authorized User Terms (“Authorized User Terms”) are between you (“you” or “your”), Luminary Inc Finance Ltd (“Luminary”, “we”, “us”), and the card issuer identified below (“Issuer”). These Terms govern your access to and use of the Luminary Card and related Card Services.
These Authorized User Terms are incorporated by reference into the Card Terms and Luminary Terms of Service.
a. “Card Services” means the ancillary services provided by Issuer and/or Luminary that facilitate your use of the Luminary Card and Card Account.
b. “Card Terms” means the Luminary Spend Card Terms entered into between Company, Luminary, and Issuer.
c. “Company” means the business entity that is applying for or has opened a Luminary Account to use the Luminary Card Services and is providing you access to these Services.
d. “Company Administrator” means an individual at Company with authority to grant you access to a Luminary Card and Card Services.
e. “Luminary Card” means the business spend card made available to you by a Company Administrator and which is linked to the Company’s Luminary Wallet or Card Account.
f. “User” means you, an individual authorized to use the Luminary Card and Card Services on Company’s behalf.
Capitalized terms not defined here have the meanings provided in the Card Terms or the Luminary Terms of Service.
The Luminary Card is a business card issued to the Company under the Card Terms.
The Issuer of the Card is Third National Bank (“Issuer”).
You understand that you have access to the Card Services only to the extent authorized, and solely for the benefit of the Company. The Luminary Card is not for personal, family, or household use, and Luminary does not directly provide banking or credit services to you personally.
Company is responsible for ensuring your compliance with these Authorized User Terms and the Card Terms. You acknowledge that Company is a third-party beneficiary of this Agreement.
By using the Card Services available under the Company’s Luminary Account, you consent to and agree to these Authorized User Terms and to receive all communications from Luminary electronically as described below.
Luminary reserves the right to amend these Authorized User Terms or impose additional obligations at any time. We will use commercially reasonable efforts to notify you in advance of material changes. Your continued use of the Card Services after such notice constitutes acceptance.
Before using the Luminary Card and Card Services, your Company Administrator must add you as an authorized user within the Luminary platform.
By using the Luminary Card and Card Services, you represent and warrant that:
a. You are not a person or entity blocked or sanctioned by any applicable government, including those identified by the U.S. Office of Foreign Assets Control (OFAC), UK HM Treasury Sanctions List, or the EU Consolidated Sanctions List.
b. You are an employee, contractor, or agent of the Company and are duly authorized to use the Luminary Card and Card Services on its behalf.
c. You will use the Luminary Card and Services solely for lawful business purposes and in accordance with the Card Terms, Luminary Terms of Service, and Luminary Privacy Policy.
d. All information you or the Company provide to us is true, accurate, and complete.
e. You will not use the Card for personal, family, or household purposes.
f. You have reviewed and accepted the Card Terms, these Authorized User Terms, and the Luminary Privacy Policy.
You may access the Luminary Card and Card Services only while authorized to do so by the Company and Luminary.
Luminary or the Company may limit, suspend, or terminate your access at any time without notice.
You agree not to circumvent or attempt to circumvent security controls or gain unauthorized access to any system or service.
You acknowledge and consent to Luminary’s E-Sign and Electronic Communications Notice, which allows us to deliver documents, disclosures, and notices electronically.
Your electronic consent has the same legal effect as a physical signature.
To enable the Card Services, you may be required to provide personal data (e.g., your name, date of birth, and email address) to the Company Administrator, the Company, or Luminary.
You authorize the Company and Company Administrator to share your personal data with Luminary.
We use this data to verify your identity, confirm that you are not sanctioned or restricted, and ensure eligibility to use the Luminary Card.
We process your personal data in accordance with our Privacy Policy, available at [https://luminaryincfinance.com/privacy-policy].
By using the Luminary Card and Card Services, you agree to the use of your personal data as described in these Terms and the Luminary Privacy Policy.
You acknowledge and agree that you have read and understood the Luminary Prohibited Activities available at
[https://luminaryincfinance.com/prohibited-activities] and will comply at all times.
You must not use the Luminary Card or Card Services:
You agree to use all reasonable means to protect your Luminary Card, credentials, and access devices from unauthorized use.
You must not allow others to use your card or credentials.
Immediately notify Luminary at support@luminaryincfinance.com if you suspect your Card or account credentials have been lost, stolen, or compromised.
You will cooperate fully with Luminary and Company in investigating or resolving any security issue.
Luminary maintains a business relationship with the Company.
You will receive notices at the email address or mobile number provided by you or by the Company. Notices may include push notifications or SMS messages about transactions or security alerts.
You may opt out of certain notifications through the Luminary platform; however, doing so may limit access to some features.
You are responsible for maintaining updated contact details and for any internet or mobile costs incurred.
Electronic notices and consents have the same legal effect as physical documents.
The Luminary Card is a business and commercial payment product.
You acknowledge that consumer protection laws, including the Electronic Funds Transfer Act (Regulation E) and consumer NACHA rules, do not apply to your use of the Card or Services.
Luminary may suspend or terminate your access to the Company’s Luminary Account or Card Services at any time and for any reason, in its sole discretion, including at the direction of the Company, the Company Administrator, or the Issuer.
If the Card Terms or Luminary Terms of Service between Luminary and Company terminate, these Authorized User Terms will also terminate, except for provisions that by nature should survive (such as Sections 6–9 and 12).
To the maximum extent permitted by law, the aggregate liability of Luminary, Issuer, and their affiliates arising out of or related to these Authorized User Terms—whether in contract, tort, or otherwise—shall not exceed the limits stated in the Luminary Terms of Service.
Nothing in this Section limits liability for fraud, willful misconduct, gross negligence, breach of data-protection obligations, or any liability that cannot lawfully be limited.
You acknowledge and agree to the dispute resolution provisions set forth in the Card Terms (Sections 18–19).
These may require that disputes with the Issuer and/or Luminary be resolved by individual arbitration rather than court proceedings or class actions.
By accepting these Terms, you waive any right to trial by jury or to participate in a class action related to your use of the Card Services.
Please review the dispute resolution provisions in the Card Terms carefully.
These Authorized User Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.
Any permitted judicial proceedings must be brought in the courts of England and Wales, and you consent to their jurisdiction and venue.
For U.S. card programs, these Terms may alternatively be governed by the laws of the State of Delaware, as specified in the Card Terms.
